Terms of Sale

Article 1 - Purpose
These Terms of Sale (ToS) define the rights and obligations of the parties in the context of the sale of services offered by Giroud Agency to its Clients.
Article 2 - Services Offered
Giroud Agency offers the following services:
- Creation of professional websites for restaurateurs
- Hosting of websites on secure servers in Switzerland
- Maintenance and technical updates
- Customer support via email and ticket system
- Premium options (multilingual, custom domain, etc.)
- Business process automation services
Article 2bis - Automation Services
Giroud Agency offers automation services designed to optimize business processes. These services include needs analysis, design, development and deployment of automated workflows.
Process
The automation process takes place in three steps:
- Free diagnostic: discussion of your needs and identification of automation opportunities (15-20 minutes, no commitment)
- In-depth audit (CHF 250, mandatory): detailed analysis of your processes, mapping, identification of potential gains and prioritized recommendations. This step is mandatory before any automation offer. This amount is deductible from any offer signed within 30 days of the audit.
- Implementation: development, deployment and training according to the chosen offer
Automation Offers
- Targeted Automation (CHF 990): 1 automated workflow, up to 3 connected tools, 1 month support included. Clear scope and existing processes required.
- Transformation (CHF 2,490): Up to 4 automated workflows, unlimited integrations, documented processes, 3 months support included.
- Enterprise (on quote): Complete custom solution, dedicated consultant, 12 months priority support, team training, custom SLA.
Automation Maintenance
An optional maintenance service is offered from CHF 149/month (depending on scope and complexity). This service includes:
- Regular monitoring of automations and incident correction
- Hosting included: 2 GB RAM for Targeted Automation clients, 4 GB RAM for Transformation clients (+CHF 20/GB/month additional)
- Regular optimizations and adjustments
- Priority technical support
Automation Hosting
Automation hosting is included in the maintenance offer. Without maintenance, the client is responsible for hosting their automations on their own infrastructure. Included hosting resources (RAM) vary according to the subscribed offer.
Third-Party Services and Tools
Third-party tools and services required for automation operation (APIs, software licenses, subscriptions to external services) remain the client's responsibility. Giroud Agency is not responsible for modifications, interruptions or pricing changes of these third-party services.
Article 3 - Prices
Service prices are indicated in Swiss francs (CHF) for clients based in Switzerland, or in euros (EUR) for clients based in the European Union. VAT is not applicable (company not subject to Swiss VAT).
Prices include one-time setup fees and a monthly subscription.
Giroud Agency reserves the right to modify its prices at any time. New prices apply to new orders and renewals.
Article 4 - Order
The order process is as follows:
- Selection of template and options
- Website configuration (information, content)
- Validation and payment
- Website deployment (usually within 24 hours)
Article 5 - Payment
Payment is made by credit card via the secure Stripe platform.
Setup fees are payable immediately upon ordering.
The monthly subscription is automatically debited each month on the anniversary date of the subscription.
Article 6 - Duration and Renewal
The subscription is taken out without minimum commitment.
The subscription is automatically renewed each month unless cancelled by the Client.
Premium options are billed monthly and can be added or removed at any time.
Article 7 - Cancellation
The Client can cancel their subscription at any time from their client area.
Cancellation takes effect at the end of the current subscription period. The website remains accessible until that date.
No refund is made for the remaining period after cancellation.
Article 8 - Right of Withdrawal
In accordance with Swiss law, the right of withdrawal does not apply to digital services whose execution has begun with the consumer's consent. By placing an order, the Client accepts that the service begins immediately and waives their right of withdrawal.
Article 9 - Delivery
The website is generally deployed within 24 hours of order validation and payment.
This deadline may be extended in case of incomplete content provided by the Client or exceptional circumstances.
Article 10 - Warranties
Giroud Agency guarantees the proper technical functioning of the website throughout the subscription period.
In case of malfunction, the Client can contact support to obtain a resolution as soon as possible.
Article 11 - Limitation of Liability
Giroud Agency's liability is limited to the amount actually paid by the Client in the last 12 months.
Giroud Agency cannot be held liable for indirect damages, data loss, revenue loss, or damage to reputation.
Article 12 - Force Majeure
Giroud Agency cannot be held liable for failure to perform its obligations in case of force majeure, including natural disasters, war, strikes, network failures, or government decisions.
Article 13 - Applicable Law
These ToS are governed by Swiss law. Any dispute shall be subject to the exclusive jurisdiction of the courts of the Canton of Valais, Switzerland.
